1. Acceptance of these terms

By accessing or using this website (the “Site”), you agree to these Terms of Service (the “Terms”) and to our Privacy Policy. If you use the Site on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf, and “you” includes that organization. If you do not agree, do not use the Site.

2. Who we are

The Site is operated by Sonergy Group, Inc., a Florida corporation with its headquarters at 8461 Lake Worth Rd, Lake Worth, FL 33467, USA (“Sonergy,” “we,” “us” or “our”). References to Sonergy include its subsidiaries, affiliates and brands where the context requires.

3. Information only, no offer

The Site provides general information about Sonergy and its business lines: fuel and energy trading, commodity trading, agricultural production, packaged food distribution, renewable energy, and natural resources. Nothing on the Site is:

• an offer to sell, or a solicitation of an offer to buy, any fuel, agricultural commodity, metal, food product, energy system or other product or service;
• an offer or solicitation in respect of any security, derivative, futures contract or other financial instrument, or investment, legal, tax or trading advice; or
• a commitment to supply any product, grade, volume, price, delivery window, port or Incoterm.

Prices, quotations, availability and terms are indicative only until confirmed in a written contract signed by an authorized officer of Sonergy. No contract, agency, partnership, joint venture or fiduciary relationship is created by your use of the Site, by an inquiry, or by any exchange of correspondence before that written contract is signed.

4. Product information and specifications

Product names, grades and standards shown on the Site (for example EN590 diesel, Jet A1, VLSFO, or ICUMSA 45 sugar) are listed for general reference. The specification, quality, quantity, origin, inspection, documentation, title, risk and delivery terms of any product are determined solely by the written contract for that transaction and by the inspection procedures it names.

Products may be subject to availability, seasonal and crop conditions, refinery and terminal schedules, export and import licensing, and the laws of the countries of origin, transit and destination. Sonergy may change, suspend or discontinue any product, service or business line described on the Site without notice.

5. Inquiries and communications

When you send an inquiry through the Site or by email, you agree to provide accurate information and to send only information you are entitled to share. Please do not send trade secrets, bank account details, passwords or other confidential information through the inquiry form. Information you send through the Site is not treated as confidential unless a written confidentiality agreement with Sonergy says otherwise.

Sending an inquiry does not oblige Sonergy to respond, quote or transact. We may decline any inquiry or counterparty at our sole discretion, including for commercial, credit, compliance or reputational reasons.

6. Compliance, sanctions and due diligence

Sonergy conducts business in accordance with applicable laws, including U.S. economic sanctions administered by the Office of Foreign Assets Control (OFAC), U.S. export control laws, anti-boycott rules, the U.S. Foreign Corrupt Practices Act and other anti-bribery laws, and anti-money laundering and counter-terrorist financing laws.

Before entering into any transaction, Sonergy will carry out know-your-customer, beneficial ownership, sanctions and anti-money laundering checks, and may request corporate documents, identification of authorized signatories and beneficial owners, bank and trade references, end-use and end-user statements, and vessel, cargo and routing information. Sonergy will not proceed with a transaction that would violate applicable law or that it cannot verify to its satisfaction.

By using the Site to contact Sonergy, you represent that you are not, and are not owned or controlled by or acting on behalf of, a person or entity identified on any U.S., United Nations, European Union or United Kingdom sanctions list, and that you will not use any information from the Site in connection with a sanctioned person, country or territory.

The Site may contain statements about Sonergy’s plans, capabilities, markets and expected developments. These statements reflect our expectations when made, involve risks and uncertainties, and are not guarantees of future performance. Actual results may differ materially. We have no obligation to update them.

9. Intellectual property

The Site and its content, including text, graphics, maps, data visualizations, logos and the names and marks “Sonergy Group” and “Magson Foods,” are owned by or licensed to Sonergy and are protected by copyright, trademark and other laws. Other marks shown on the Site belong to their respective owners.

You may view and print pages of the Site for your own internal business or personal reference. You may not copy, reproduce, modify, distribute, republish, frame or create derivative works from any part of the Site, or use Sonergy’s names or logos, without our prior written permission.

10. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or misleading purpose, including to misrepresent an affiliation with Sonergy;
• submit false information, or information about another person without their authority;
• scrape, crawl or harvest content or contact details from the Site by automated means;
• interfere with, probe, overload or attempt to gain unauthorized access to the Site or its systems; or
• introduce malware or any code designed to disrupt, damage or monitor the Site or its users.

11. Third-party sites and images

The Site may link to websites operated by others, including affiliated brands. We do not control and are not responsible for their content, availability or privacy practices, and a link is not an endorsement.

Photographs and graphics on the Site may be illustrative. Unless a caption says otherwise, they may not depict Sonergy’s own vessels, facilities, products or personnel. Maps and network graphics are simplified and are not to scale.

12. Disclaimer of warranties

The Site and all content are provided “as is” and “as available.” To the fullest extent permitted by law, Sonergy disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and completeness. Sonergy does not warrant that the Site will be uninterrupted, secure or free of errors or harmful components.

13. Limitation of liability

To the fullest extent permitted by law, Sonergy and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill or data, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages. Sonergy’s total liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to defend, indemnify and hold harmless Sonergy and its officers, directors, employees and agents from any claims, losses, liabilities, damages, costs and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

15. Governing law and disputes

These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

You agree that the state and federal courts located in Palm Beach County, Florida have exclusive jurisdiction over any such dispute, and you consent to their personal jurisdiction and venue. To the fullest extent permitted by law, each party waives any right to a trial by jury. Disputes about a specific transaction are resolved under the dispute resolution terms of that transaction’s written contract.

16. International use

The Site is operated from the United States. If you access it from elsewhere, you are responsible for complying with local law. You may not use, export or re-export any information from the Site in violation of U.S. or other applicable export control or sanctions laws.

17. General terms

These Terms, together with the Privacy Policy, are the entire agreement between you and Sonergy about the Site. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, reorganization or sale of assets. Headings are for convenience only.

18. Changes to these terms

We may update these Terms from time to time. The “Last updated” date shows when they last changed. Changes apply from the date they are posted, and your continued use of the Site after that date means you accept them.
